The agreement governing your use of the ScopeBase.AI platform and managed services.

Agreement Summary These Terms of Service ("Terms") constitute a binding agreement between you (or the organization you represent) and VeAssis LLC ("VeAssis," "we," "us," or "our"), the operator of ScopeBase.AI. By creating an account or using our services, you agree to these Terms. Please read them carefully.

Acceptance of Terms

By accessing or using ScopeBase.AI (the "Platform"), including through the website at app.scopebase.ai, www.scopebase.ai, or any associated APIs or managed services, you agree to be bound by these Terms. If you are using the Platform on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

If you do not agree to these Terms, do not access or use the Platform. Your continued use of the Platform after any modification to these Terms constitutes acceptance of the revised Terms.

These Terms incorporate by reference our Privacy Policy, which describes how we collect and use your data.

Services Description

VeAssis LLC provides the following services under the ScopeBase.AI brand:

ScopeBase.AI Platform (SaaS)

A cloud-based government contract intelligence platform providing AI-powered RFP analysis, subcontractor management, compliance tracking (VetHUB/SBE/DBE), bid response pipeline, cost estimation, and post-award tracking. Available in Starter ($69/month), Professional ($299/month), and Enterprise ($899/month) tiers.

RDaaS — RFP Discovery as a Service

A managed service providing continuous procurement monitoring of federal and state portals, KKAI email intelligence, NAICS-filtered opportunity scoring, and daily bid digest delivery. Delivered by VeAssis personnel and the ScopeBase.AI platform on a monthly subscription basis.

RRaaS — RFP Response as a Service

A managed service providing AI-assisted proposal development including RFP ingestion, teaming slot generation, AI-drafted response sections, compliance matrix assembly, and submission package preparation. Delivered per proposal engagement or on a monthly retainer basis.

VeAssis reserves the right to modify, update, or discontinue any service or feature with reasonable notice to subscribers.

Account Registration and Security

To use ScopeBase.AI, you must create an account by providing accurate and complete registration information including your name, company name, email address, and a secure password. You are responsible for maintaining the confidentiality of your account credentials.

Account Accuracy

You agree to provide accurate, current, and complete information during registration and to update your information as necessary. Providing false or misleading information, including falsely claiming certifications (DBE, WBE, MBE, HUB, VetHUB, etc.) that your organization does not hold, is grounds for immediate account termination.

Account Security

You are responsible for all activity that occurs under your account. You must notify us immediately at [email protected] if you suspect unauthorized access to your account. We are not liable for losses resulting from unauthorized use of your account credentials.

Team Users

Your subscription tier determines the number of team users permitted (1 for Starter, 3 for Professional, 5+ for Enterprise). Each team user must agree to these Terms. You are responsible for ensuring your team users comply with these Terms.

Subscription, Billing, and Payments

Free Trial

All plans include a 30-day free trial. No credit card is required to start a trial. At the end of the trial period, continued access requires a paid subscription. We will notify you by email before your trial expires.

Payment Processing

Payments are processed by Stripe, Inc. By providing payment information, you authorize VeAssis to charge the applicable subscription fee on a recurring basis until you cancel. All prices are in U.S. dollars.

Cancellation and Refunds

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period — you retain access until that date. We do not provide refunds for partial billing periods. Annual subscriptions cancelled after the first 30 days are not eligible for prorated refunds.

Price Changes

We may change subscription prices with at least 30 days' notice. Price changes take effect at your next renewal date. Continued use of the Platform after a price change takes effect constitutes acceptance of the new pricing.

RDaaS and RRaaS Pricing

RDaaS and RRaaS managed service pricing is customized based on your NAICS codes, certification profile, proposal volume, and target agencies. Pricing is established in a separate Statement of Work or engagement agreement. Contact VeAssis for a customized quote.

Acceptable Use

You agree to use ScopeBase.AI only for lawful purposes and in accordance with these Terms. You must not:

  • Use the Platform to submit false or fraudulent information in any government proposal, procurement, or certification application
  • Falsely claim small business certifications (DBE, WBE, MBE, HUB, VetHUB, SDVOSB, 8(a), HUBZone, ACDBE) that your organization does not hold
  • Upload or process Controlled Unclassified Information (CUI), classified information, or information subject to export control restrictions without appropriate authorization
  • Attempt to reverse engineer, decompile, or extract source code from the Platform
  • Use automated scripts, bots, or scrapers to access the Platform beyond normal use
  • Share account credentials with individuals outside your authorized team users
  • Use the Platform to infringe any third party's intellectual property rights
  • Attempt to gain unauthorized access to other users' accounts or data
  • Use the Platform in any way that could damage, disable, or impair our systems
Government Contracting Compliance

ScopeBase.AI is a tool to assist with proposal preparation. You are solely responsible for the accuracy, completeness, and legal compliance of all proposals, certifications, and procurement submissions made using the Platform. VeAssis is not a licensed attorney and nothing in the Platform constitutes legal advice.

Your Content and Data

Ownership

You retain all ownership rights to the content you upload to ScopeBase.AI, including RFP documents, past performance narratives, capability statements, key personnel profiles, and any other materials ("Your Content"). These Terms do not transfer any ownership rights to VeAssis.

License to VeAssis

By uploading Your Content to the Platform, you grant VeAssis a limited, non-exclusive license to process, store, and use Your Content solely to provide the services you have subscribed to. This license terminates when you delete the content or close your account.

Your Responsibility for Content

You represent and warrant that:

  • You own or have the right to upload all content you provide to the Platform
  • Your Content does not violate any applicable law or third-party rights
  • Your Content does not include classified, export-controlled, or CUI information unless you have appropriate authorization
  • Past performance references and capability claims in your content are accurate

Data Isolation

Your Content is stored in a tenant-isolated environment. Your proposal content, procurement strategy, teaming arrangements, and cost data are not visible to other ScopeBase.AI users and are not used to generate content for other clients.

AI-Generated Content

Your Review Responsibility All AI-generated content produced by ScopeBase.AI is a draft for your review. You are responsible for reviewing, verifying, and approving all AI-generated content before submitting it in any proposal or procurement response.

Ownership of AI-Generated Content

AI-generated proposal sections, technical approaches, management plans, past performance narratives, and other content produced by the Platform using your data are owned by you. VeAssis does not claim any intellectual property rights in AI-generated outputs produced on your behalf.

No Guarantee of Accuracy or Award

VeAssis does not warrant that AI-generated content is accurate, complete, compliant with solicitation requirements, or will result in a successful proposal award. AI models may produce errors, omissions, or inaccurate information. You are solely responsible for the accuracy and compliance of all submitted proposals.

No Training on Your Content

VeAssis does not use your proposal content, RFP documents, or procurement strategy data to train AI models without your explicit written consent. Aggregated, anonymized platform usage patterns (not document content) may be used to improve Platform features.

Third-Party AI Models

The Platform uses third-party AI models including Claude (Anthropic PBC) and GPT (OpenAI) for content generation. Use of these models is subject to the respective providers' terms of service and data handling policies. VeAssis is not responsible for outputs produced by third-party AI models.

KKAI Email Integration Terms

If you enable the KKAI email intelligence integration, the following additional terms apply:

Authorization

By enabling KKAI, you authorize VeAssis to access and process inbound email messages in the designated procurement inbox you specify. You represent that you have authority to grant this access, and that the designated inbox is a business email account under your organization's control.

Scope of Access

KKAI accesses only the inbox you designate for procurement monitoring. We do not access other folders, sent mail, contacts, calendar, or any other inbox. You may revoke access at any time from your account settings.

Data Processing

KKAI extracts structured procurement data from emails (solicitation numbers, deadlines, agencies, NAICS codes). Raw email message content is not permanently stored. Extracted structured data is retained in accordance with our Privacy Policy.

Your Responsibility

You are responsible for ensuring that enabling KKAI email access complies with any applicable organizational policies, email privacy laws, and any third-party terms governing your email service provider.

Intellectual Property

VeAssis Intellectual Property

The ScopeBase.AI platform, including its software, algorithms, user interface, visual design, documentation, KKAI email intelligence engine, and all related intellectual property, is owned by VeAssis LLC and protected by copyright, trade secret, and other applicable laws. These Terms do not grant you any ownership rights in the Platform.

License to Use the Platform

Subject to your compliance with these Terms and payment of applicable fees, VeAssis grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your internal business purposes during your subscription term.

Feedback

If you provide suggestions, ideas, or feedback about the Platform ("Feedback"), you grant VeAssis a perpetual, irrevocable, royalty-free license to use that Feedback for any purpose, including improving the Platform. You waive any right to compensation for Feedback.

Trademarks

ScopeBase.AI, VeAssis, KKAI, and associated logos are trademarks of VeAssis LLC. You may not use these trademarks without our prior written permission.

Confidentiality

Each party may have access to the other's confidential information in connection with these Terms. "Confidential Information" means non-public information designated as confidential or that a reasonable person would understand to be confidential given the nature of the information and circumstances of disclosure.

Obligations

Each party agrees to: (a) hold the other's Confidential Information in strict confidence; (b) use the Confidential Information only for purposes of performing obligations under these Terms; and (c) disclose the Confidential Information only to employees, contractors, and agents who have a need to know and are bound by confidentiality obligations at least as protective as these Terms.

Your Business Data

VeAssis treats your proposal content, pricing strategies, teaming arrangements, procurement pipeline, and business strategy as your Confidential Information. We do not disclose this information to third parties except as described in our Privacy Policy or as required by law.

Exceptions

Confidentiality obligations do not apply to information that: (a) is or becomes publicly known through no fault of the receiving party; (b) was rightfully known before disclosure; (c) is independently developed without use of Confidential Information; or (d) must be disclosed by law or court order, provided the disclosing party gives prompt notice where legally permitted.

Disclaimer of Warranties

Important — Please Read Carefully

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VEASSIS DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. VEASSIS DOES NOT WARRANT THAT:

  • The Platform will be uninterrupted, error-free, or secure
  • AI-generated content will be accurate, complete, or compliant with any solicitation requirements
  • Use of the Platform will result in successful proposal awards
  • Opportunity data retrieved from SAM.gov, TX SmartBuy, GovWin, or other sources will be current, complete, or accurate
  • The Platform will meet your specific requirements or expectations

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL VEASSIS LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, business opportunities, or anticipated savings
  • Loss of or damage to data
  • Damages arising from failure to win a government contract or proposal award
  • Damages arising from inaccurate AI-generated content used in a proposal submission
  • Damages arising from errors or omissions in procurement opportunity data

IN ALL CASES, VEASSIS'S TOTAL CUMULATIVE LIABILITY TO YOU ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL SUBSCRIPTION FEES PAID BY YOU TO VEASSIS IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

Some jurisdictions do not allow the exclusion of certain warranties or limitation of certain damages. In such jurisdictions, VeAssis's liability is limited to the fullest extent permitted by applicable law.

Indemnification

You agree to indemnify, defend, and hold harmless VeAssis LLC and its officers, directors, employees, agents, and successors from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of the Platform in violation of these Terms
  • Your Content, including any claim that Your Content infringes a third party's rights
  • Any proposal submission made using AI-generated content from the Platform
  • Any false or fraudulent information you provide in connection with your account or any government procurement
  • Your violation of any applicable law, regulation, or third-party right

Term and Termination

Term

These Terms remain in effect for the duration of your subscription and any subsequent renewals.

Termination by You

You may terminate your subscription at any time from your account settings. Termination takes effect at the end of the current billing period.

Termination by VeAssis

VeAssis may suspend or terminate your account immediately upon written notice if:

  • You materially breach these Terms and fail to cure the breach within 10 days of written notice
  • You provide false certification information or engage in fraudulent procurement activity
  • You fail to pay applicable subscription fees
  • Continuing to provide the service would violate applicable law

Effect of Termination

Upon termination, your right to access the Platform ceases immediately (or at the end of the billing period for non-default terminations). You may request an export of Your Content within 30 days of termination. After 90 days following termination, Your Content will be permanently deleted from our systems.

Sections 6 (Your Content), 9 (Intellectual Property), 10 (Confidentiality), 11 (Disclaimer), 12 (Limitation of Liability), 13 (Indemnification), and 16 (Governing Law) survive termination.

Microsoft Marketplace Terms

If you subscribe to ScopeBase.AI through the Microsoft Commercial Marketplace, the following additional terms apply:

  • Your purchase is subject to the Microsoft Commercial Marketplace Terms of Use in addition to these Terms. In the event of a conflict, these Terms govern your use of the Platform, and Microsoft's terms govern the purchase transaction
  • Microsoft handles billing and payment collection on behalf of VeAssis for Marketplace transactions
  • Subscription management (upgrade, downgrade, cancellation) may be performed through either the Microsoft Azure portal or your ScopeBase.AI account settings
  • VeAssis is responsible for service delivery, support, and all Platform obligations described in these Terms
  • Microsoft is not a party to this agreement and has no obligations or liability with respect to the Platform or your use of it

Governing Law and Dispute Resolution

Governing Law

These Terms are governed by the laws of the State of Texas, without regard to its conflict of law provisions. Any dispute arising out of or related to these Terms shall be resolved in the state or federal courts located in Travis County, Texas, and you consent to the personal jurisdiction of those courts.

Informal Resolution

Before filing any legal claim, the parties agree to attempt to resolve any dispute informally by contacting VeAssis at [email protected]. We will attempt to resolve the dispute within 30 days of receiving notice.

Waiver of Class Action

TO THE EXTENT PERMITTED BY APPLICABLE LAW, YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION AGAINST VEASSIS.

Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email at least 14 days before the changes take effect and post a notice within the Platform.

Your continued use of the Platform after the effective date of the revised Terms constitutes your acceptance. If you do not agree to the revised Terms, you may cancel your subscription before the effective date and receive a prorated refund for any prepaid subscription period.
